Terms of Service

Effective September 9, 2026

These Terms of Service ("Terms") are a binding agreement between Server Side Design, Inc. d/b/a Fair Marketing ("PricePolice," "we," "us," or "our") and the person or organization that accesses or uses the Service ("Customer," "you," or "your"). PricePolice is a business-to-business service for competitor-price monitoring, minimum-advertised-price monitoring, alerts, reports, and related tools.

1 Acceptance and authority

By creating an account, clicking to accept these Terms, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering a contract. The Service is intended for business and professional use, not personal, family, or household use.

2 The Service

The "Service" includes pricepolice.io, the PricePolice application, scheduled and manual monitoring runs, Price Scans, product and competitor configuration, price and MAP observations, screenshots or other archived evidence, alerts, reports, imports, integrations, support, and related features we make available.

A "Price Scan" is one attempt to check one competitor product page at one time. A "Monitoring Run" is a scheduled or manually initiated batch of Price Scans. Plan limits, monitoring frequency, history, team seats, notification recipients, integrations, and other entitlements are described on the applicable order page or order form.

3 Accounts and authorized users

You must provide accurate account information and keep it current. You are responsible for safeguarding credentials, limiting access to authorized users, and all activity under your account. Individual credentials may not be shared. Notify us promptly at getsupport@pricepolice.io if you suspect unauthorized access.

You are responsible for your authorized users' compliance with these Terms. We may rely on instructions from an account owner or administrator regarding account configuration, users, integrations, billing, exports, and deletion.

4 Trials and subscriptions

A trial begins when your account is activated and lasts for the period shown at registration. Unless the checkout flow clearly states otherwise, a no-credit-card trial does not automatically convert to a paid subscription. Trial features, limits, data retention, and availability may differ from paid plans, and we may modify or end a trial at any time.

Paid subscriptions begin when accepted at checkout or in an order form. Unless an order form says otherwise, subscriptions renew automatically for successive periods equal to the selected monthly or annual billing period until canceled. We will disclose the price, billing interval, renewal terms, and cancellation method before charging you.

You may cancel through the account billing controls or the other cancellation method stated at checkout. Cancellation takes effect at the end of the then-current paid billing period, and access continues until then unless the account is terminated for cause. Cancel before the renewal date to avoid the next charge.

5 Fees billing taxes and refunds

You authorize us and our payment processor to charge the payment method on file for subscription fees, add-ons, usage charges disclosed before purchase, and applicable taxes. Fees are charged in advance unless an order form states otherwise. You must maintain accurate billing information.

Except where required by law or expressly stated in an order form, fees are non-refundable and we do not provide credits for partial billing periods, unused Price Scans, unused products, downgrades, or cancellation after a renewal charge. If we terminate a prepaid subscription for convenience rather than your breach, we will provide a prorated refund for the unused prepaid period.

We may change future prices or plan limits by giving reasonable advance notice. A change will apply no earlier than your next renewal unless you affirmatively purchase an upgrade or add-on. You are responsible for taxes other than taxes based on our net income.

6 Monitoring operation and limitations

PricePolice attempts to retrieve and analyze pricing information from product pages selected by you or discovered for your review. Results can be affected by page changes, variants, coupons, membership pricing, location, currency, tax, shipping, personalization, inventory, login requirements, bot protections, network errors, source restrictions, and other conditions outside our control.

A Price Scan is an attempt, not a guarantee of a successful observation. Monitoring frequency is the frequency included in your plan; references to "instant," "daily," or similar timing are descriptive only when that timing is part of your plan and technically available. Alerts may be delayed, duplicated, incomplete, or unavailable.

Product matching, lowest-price findings, undercutting findings, MAP findings, differences, percentages, and status labels are automated or assisted determinations. You must independently verify material findings before changing prices, contacting a seller, enforcing a policy, or taking legal, commercial, or disciplinary action.

7 Third party websites and public data

The Service may access publicly available webpages and display facts or excerpts derived from third-party sources. Third-party websites and their content are controlled by their owners, not PricePolice. We do not endorse them and are not responsible for their availability, accuracy, legality, terms, security, or conduct.

You must use the Service and its outputs lawfully and consistently with contractual duties and third-party rights applicable to you. You may not use PricePolice to access non-public information without authorization, bypass access controls, evade blocks, collect regulated personal data, or infringe privacy, intellectual property, database, contractual, or other rights.

We may refuse, suspend, limit, or discontinue monitoring of any source, URL, marketplace, or data type when access is blocked, restricted, disputed, unsafe, technically impracticable, or potentially unlawful. We may honor a source owner's request to stop access without liability to you.

8 MAP monitoring and archived evidence

PricePolice monitors advertised information against MAP values you provide. PricePolice does not create, interpret, validate, or enforce your MAP policy; determine whether a policy or action is lawful; identify an authorized seller with certainty; send legal notices unless separately agreed; or act as your lawyer, investigator, pricing agent, or enforcement representative.

Archived screenshots, timestamps, hashes, logs, or other evidence may help document what the Service observed. "Immutable," "verified," or similar labels refer only to integrity controls PricePolice applies to a stored record after capture. They do not guarantee that the source information was correct, that the product match was exact, or that a court, marketplace, seller, or other party will accept the record as authentic or legally sufficient.

MAP, resale-price, antitrust, advertising, and marketplace rules vary. Obtain qualified legal advice before creating or enforcing a policy. You remain solely responsible for all pricing, reseller, marketplace, and enforcement decisions.

9 Customer Content and permissions

"Customer Content" means information you or your authorized users submit, connect, import, configure, or generate through the Service, including business details, catalogs, SKUs, prices, MAP values, product feeds, competitor URLs, integration data, instructions, reports, and communications. As between you and PricePolice, you retain ownership of Customer Content.

You grant PricePolice and its service providers a worldwide, non-exclusive, limited license during the term to host, copy, transmit, retrieve, transform, analyze, display, and otherwise process Customer Content as necessary to provide, secure, support, and improve the Service and comply with law. This license ends when the relevant Customer Content is deleted from active systems, subject to backup cycles and legal retention.

You represent that you have all rights, notices, consents, and lawful bases needed for us to process Customer Content as contemplated by these Terms and the Privacy Policy. Do not submit sensitive personal information, consumer profiles, health data, financial account credentials, government identifiers, biometric data, children's data, or data regulated by HIPAA, GLBA, PCI DSS, or similar sectoral laws unless we expressly agree in writing.

10 Service data aggregated data and feedback

PricePolice owns the Service, software, workflows, interfaces, documentation, models, methods, and operational data, excluding Customer Content and third-party content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription for your internal business purposes.

We may create and use aggregated or de-identified information that cannot reasonably identify you, your users, or your business to operate, secure, analyze, benchmark, and improve the Service. We will not attempt to re-identify it except to test our de-identification safeguards or as permitted by law.

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or attribution, but we are not required to use it.

11 Reports exports and permitted use

You may use reports, alerts, and exported observations for your internal business intelligence and lawful management of your own products, prices, channels, and reseller relationships. Your right to use any third-party content remains subject to the rights of the applicable owner and applicable law.

Unless we agree in writing, you may not resell, publish as a competing database, sublicense, syndicate, or commercially exploit PricePolice outputs; use them to build or train a competing service or generalized artificial-intelligence model; or represent that PricePolice made a legal conclusion or endorsed your action.

12 Acceptable use

You may not: violate law or third-party rights; monitor non-public pages without authorization; bypass CAPTCHAs, authentication, paywalls, rate limits, robots controls, or technical protections; probe or disrupt the Service; introduce malicious code; reverse engineer or copy the Service except where law expressly permits; scrape the Service itself; share access outside your organization; misrepresent findings; use outputs for unlawful collusion, price fixing, discrimination, harassment, or deceptive practices; or exceed plan limits through automation or multiple accounts.

We may investigate suspected misuse and suspend access when reasonably necessary to protect the Service, a source website, our customers, or third parties. We will use reasonable efforts to give notice when appropriate and lawful.

13 Integrations and third party services

The Service may connect with ecommerce platforms, identity providers, payment processors, product feeds, email services, analytics tools, and other third-party services. Your use of a third-party service is governed by your agreement with that provider. You authorize us to exchange Customer Content and account information with an integration only as needed to provide the connection you request.

We are not responsible for third-party services, their data practices, changes, outages, acts, or omissions. An integration may stop working if the provider changes or withdraws access. You may disconnect an integration, but previously imported information may remain until deleted under our retention practices.

14 Confidentiality

Each party may receive non-public information that should reasonably be understood as confidential. The receiving party will use it only to perform or exercise rights under these Terms, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound by confidentiality obligations. These duties do not apply to information independently developed, rightfully received without restriction, already known without duty, or publicly available through no breach.

A party may disclose confidential information when legally required if, where lawful, it gives prompt notice and reasonable assistance. Customer Content is your confidential information. The Service's non-public code, security information, product plans, and pricing are our confidential information.

15 Security

We maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Content. No online service is completely secure, and we do not guarantee that unauthorized access, loss, or interruption will never occur. You are responsible for appropriate account permissions, secure credentials, lawful backups and exports, and promptly removing former users.

If an order form or data-processing addendum conflicts with this section regarding security or personal-data processing, that signed document controls for its subject matter.

16 Service changes beta features and support

We may improve, change, add, or remove features. We will not materially reduce the core functionality of a paid plan during its current prepaid term without a commercially reasonable substitute, credit, or termination right, except when required for security, law, third-party rights, or source access.

Preview, beta, early-access, experimental, and free features are provided for evaluation, may be changed or discontinued at any time, may be less secure or reliable, and are excluded from support commitments unless we state otherwise. Support level and response targets, if any, are those described in your plan or order form.

17 Suspension termination and data handling

You may stop using the Service at any time and cancel renewal as described above. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful or abusive use, harm to a third party or source, or legal requirement. When practicable, we will give notice and an opportunity to cure, but immediate suspension may be necessary.

On termination, your right to use the Service ends. Before the effective cancellation date, you should export Customer Content and reports you need. We may delete Customer Content from active systems after a reasonable post-termination period and from backups through normal rotation, unless law or a signed order requires longer retention.

Sections that by their nature should survive termination will survive, including accrued payment duties, confidentiality, ownership, disclaimers, limits of liability, indemnity, dispute terms, and miscellaneous provisions.

18 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OBSERVATIONS, MATCHES, ALERTS, SCREENSHOTS, REPORTS, AND THIRD-PARTY DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." PRICEPOLICE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, CONTINUOUS AVAILABILITY, AND RESULTS.

WE DO NOT WARRANT THAT EVERY PRODUCT, SELLER, PRICE CHANGE, UNDERCUTTING EVENT, OR MAP EVENT WILL BE FOUND; THAT A MATCH OR FINDING IS CORRECT; THAT ANY SOURCE WILL REMAIN ACCESSIBLE; OR THAT USE OF THE SERVICE WILL INCREASE SALES, PREVENT LOSS, PROTECT REVENUE, OR PRODUCE A PARTICULAR BUSINESS OR LEGAL OUTCOME. THE SERVICE IS NOT LEGAL, TAX, ACCOUNTING, ANTITRUST, OR PRICING ADVICE.

19 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, SAVINGS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR INDEMNITY OBLIGATIONS, YOUR BREACH OF THE ACCEPTABLE-USE OR INTELLECTUAL-PROPERTY RESTRICTIONS, OR A PARTY'S FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. FOR A FREE SERVICE, PRICEPOLICE'S TOTAL LIABILITY WILL NOT EXCEED $100.

These limits apply to all theories of liability and reflect the allocation of risk on which the parties relied. Some jurisdictions do not permit certain exclusions, so a limitation applies only to the extent permitted there.

20 Indemnification

You will defend, indemnify, and hold harmless PricePolice, its affiliates, and their officers, directors, employees, and agents from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from: Customer Content; your selected sources or instructions; your or an authorized user's unlawful or prohibited use; your pricing, MAP, reseller, marketplace, or enforcement decisions; your violation of law or third-party rights; or your breach of these Terms.

We will promptly notify you of a covered claim and provide reasonable cooperation at your expense. You may control the defense, but may not settle in a way that admits fault by, imposes obligations on, or fails to fully release an indemnified party without our written consent.

21 Governing law disputes and jury waiver

Texas law governs these Terms without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state courts located in Montgomery County, Texas, and the federal courts with jurisdiction over Montgomery County have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

Before filing a claim, a party must send written notice describing the dispute and requested relief and allow 30 days for good-faith informal resolution. This requirement does not prevent either party from seeking immediate injunctive relief for unauthorized access, misuse, confidentiality, or intellectual-property harm.

TO THE EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES TRIAL BY JURY IN ANY ACTION ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE.

22 Changes to these Terms

We may update these Terms. We will post the updated version and revise the effective date. For a material change that adversely affects an active paid subscription, we will provide reasonable advance notice by email, in-app message, or another reasonable method. The updated Terms apply when stated in the notice or, if no later date is stated, when posted. If you do not agree, your remedy is to stop using the Service and cancel before the change takes effect.

23 Miscellaneous

These Terms, the Privacy Policy, an applicable order form, and any signed data-processing addendum are the complete agreement for the Service. If terms conflict, a signed order form controls over these Terms for commercial terms, and a signed data-processing addendum controls for personal-data processing.

You may not assign these Terms without our written consent. We may assign them in connection with an affiliate reorganization, merger, financing, or sale of all or substantially all relevant assets. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. Failure to enforce a provision is not a waiver. Invalid provisions will be modified to the minimum extent necessary, and the rest remain effective. The headings are for convenience only.

Notices to you may be sent to the account email or displayed in the Service. Legal notices to PricePolice must be sent to getsupport@pricepolice.io and by nationally recognized overnight courier to 21 Waterway Avenue, Suite 300, The Woodlands, Texas 77380, United States.
